These Terms & Conditions govern your use of the AJC Business Systems LLC website, forms, website assistant, audit tools, custom apps, automations, and related services. By using this website, submitting information, requesting a free audit, or purchasing services from AJC Business Systems LLC (“AJC Business Systems,” “we,” “our,” or “us”), you agree to these Terms.
AJC Business Systems provides business systems consulting, website improvements, AI-powered website assistants, custom AI automation, lead capture systems, follow-up automation, appointment booking systems, custom app development, web development, and related business support services for small businesses.
1. Website and General Use
The content on this website is provided for general informational and business purposes only. You agree not to misuse the website, submit false or misleading information, interfere with website functionality, attempt to bypass security systems, test or exploit the website assistant, or use the website for any unlawful, harmful, abusive, or unauthorized purpose.
2. Service Inquiries and Client Relationship
Submitting an inquiry, using the website assistant, requesting a Business Systems Audit, or communicating with AJC Business Systems does not automatically create a client relationship.
A client relationship is formed only when AJC Business Systems accepts the project and both parties agree to the project scope, deliverables, pricing, timeline, payment terms, and any other required conditions in writing.
3. Separate Service Agreements
Some services may require a separate written agreement, proposal, invoice, service order, or statement of work before work begins. This may include, but is not limited to:
- Business Systems Package
- Complete Website & AI Systems Build
- Custom app development
- Custom automation projects
- Website design, rebuild, or cleanup projects
- Shopify or print-on-demand setup
- Monthly AI Systems Support
- Ongoing maintenance or managed support services
If there is a conflict between these general Terms and a separate written agreement for a specific project, the written project agreement will control for that project.
4. Services and Scope of Work
AJC Business Systems provides practical, custom-built business systems based on the agreed scope of work. Services may include strategy, consulting, design, copywriting, configuration, integrations, AI setup, automation setup, custom code, app development, website improvements, testing, launch support, and ongoing support.
Any work outside the agreed scope may require additional fees, revised timelines, or a separate agreement. We are not responsible for work, features, edits, integrations, or outcomes that were not included in the approved scope.
5. Payments, Deposits, and Pricing
Prices are subject to change based on project scope, client requirements, third-party costs, complexity, and timeline. Payment terms will be provided before paid work begins.
Work may not begin until the required deposit, first payment, or full payment is received. Late payments, failed payments, chargebacks, or unpaid invoices may result in delayed work, paused services, limited support, suspension of systems, or cancellation of the project.
Unless otherwise stated in writing, third-party expenses such as domains, hosting, software subscriptions, AI usage, API usage, SMS fees, email delivery, scheduling tools, payment processing, databases, or platform fees are the client’s responsibility.
6. Cancellations and Refunds
One-time projects may be canceled by the client with written notice. Refunds, if any, will be determined based on the work already completed, time spent, project planning, setup, custom work, third-party costs, and deliverables already provided.
Setup fees, custom development work, completed work, strategy work, audit work, configuration work, and third-party costs are generally non-refundable once work has begun, unless otherwise agreed in writing.
Monthly support services may be canceled with written notice. No prorated refunds are provided for partial months unless otherwise agreed in writing.
AJC Business Systems may cancel or pause a project or service if the client fails to provide required information, access, approvals, content, payment, or cooperation needed to complete the work.
7. Monthly AI Systems Support
Some AI, automation, website assistant, custom app, and managed system services require ongoing Monthly AI Systems Support or another ongoing support plan. This may cover hosting, API usage, system monitoring, maintenance, updates, troubleshooting, and support, depending on the service purchased.
If monthly support is canceled, paused, unpaid, or terminated, AJC Business Systems may stop maintaining, monitoring, hosting, updating, or supporting the related systems. Certain AI assistants, automations, integrations, forms, booking systems, follow-up systems, custom apps, or connected tools may stop working if support or required third-party services are no longer active.
8. Client Responsibilities
Clients are responsible for:
- Providing accurate, complete, and timely information
- Providing required account access, credentials, brand assets, content, images, and approvals
- Reviewing and approving website copy, automations, AI assistant responses, app features, workflows, forms, and other deliverables before launch
- Making sure final content, claims, pricing, policies, offers, and business information are accurate
- Paying third-party costs unless otherwise agreed in writing
- Maintaining any accounts, subscriptions, or platforms owned by the client
- Using delivered systems in a lawful and responsible manner
Delays in providing information, access, payment, feedback, or approvals may delay the project timeline.
9. Third-Party Tools and Platforms
Many services involve third-party tools and platforms, which may include Squarespace, Shopify, OpenAI, Zapier, Make, Resend, Twilio, Google, payment processors, scheduling tools, hosting platforms, domain providers, analytics tools, databases, or other software providers.
AJC Business Systems is not responsible for outages, downtime, pricing changes, billing changes, policy changes, feature changes, account restrictions, data loss, security incidents, or technical issues caused by third-party providers.
Third-party services are governed by their own terms, policies, fees, and privacy practices.
10. AI and Automation Limitations
AI tools, website assistants, automated workflows, audit tools, and custom app features can improve efficiency, lead handling, and customer experience, but they are not perfect. They may occasionally produce incomplete, inaccurate, delayed, outdated, or unexpected outputs.
Clients should review important communications, customer responses, business decisions, legal language, financial information, medical information, safety-related information, and high-risk outputs before relying on them.
AJC Business Systems does not provide legal, financial, tax, medical, emergency, or professional compliance advice through its website, AI systems, automations, custom apps, or website assistants.
11. Custom Apps and Web Systems
Custom apps, dashboards, portals, calculators, internal tools, client systems, and web-based systems are built according to the agreed project scope. Features, performance, integrations, and capabilities may vary depending on budget, platform limitations, third-party tools, available data, and technical requirements.
Unless otherwise stated in writing, custom apps and web systems are not intended for emergency use, high-risk decisions, medical use, legal decisions, financial trading, safety-critical operations, or other situations where failure could cause serious harm.
Additional features, revisions, integrations, data migrations, security upgrades, hosting changes, user management, or long-term maintenance may require additional fees.
12. Review and Approval Before Launch
Clients are responsible for reviewing and approving final deliverables before they are published, launched, connected, or used with customers. This includes website pages, forms, AI assistant behavior, chatbot-style responses, automations, emails, SMS messages, booking flows, custom app features, and business logic.
Once the client approves launch, the client accepts responsibility for the accuracy of business information, offers, pricing, policies, claims, and customer-facing content.
13. SMS and Email Communications
If you provide your email address or phone number, you agree that AJC Business Systems may contact you about inquiries, audits, estimates, projects, service updates, support, billing, and related business communications.
If SMS messaging is used, message frequency may vary and message and data rates may apply. You may opt out of SMS messages by replying STOP, and you may request help by replying HELP when applicable. We do not sell your contact information.
Marketing messages, if used, will be handled separately from service-related communications and may require separate consent where required by law or platform rules.
14. Acceptable Use
You may not use our website, forms, AI systems, automations, custom apps, or delivered systems for unlawful, abusive, deceptive, harmful, harassing, infringing, spam-related, fraudulent, or unauthorized purposes.
You may not attempt to reverse engineer, copy, scrape, overload, probe, exploit, attack, bypass, or interfere with our systems, website assistant, security features, client systems, or third-party services connected to our work.
15. Intellectual Property
Clients retain ownership of the content, materials, logos, trademarks, images, business information, and data they provide to AJC Business Systems.
Upon full payment, clients receive the right to use the final deliverables created specifically for their business, subject to these Terms and any separate written agreement.
AJC Business Systems retains ownership of its pre-existing materials, templates, frameworks, internal processes, strategies, reusable code structures, design systems, workflows, prompts, configurations, know-how, and reusable systems developed or used during the project.
Clients may not resell, copy, license, distribute, or provide our internal systems, templates, methods, code structures, workflows, or proprietary materials to third parties without written permission.
16. Portfolio Use
Unless otherwise agreed in writing, AJC Business Systems may reference completed work in its portfolio, case studies, website, social media, or marketing materials. This may include the client’s business name, website, project type, screenshots, general results, or a description of the work completed.
We will not intentionally disclose confidential information, private credentials, sensitive business data, or private customer data in portfolio materials.
17. Confidentiality
During a project, clients may share private business information, login access, internal processes, customer information, or other confidential materials. AJC Business Systems will take reasonable steps to protect confidential information and use it only as needed to provide services.
Clients are responsible for removing access or changing passwords after a project ends when appropriate.
18. Data, Security, and Backups
AJC Business Systems takes reasonable steps to build and support systems responsibly, but no website, app, AI system, automation, or third-party platform can be guaranteed to be completely secure, uninterrupted, or error-free.
Clients are responsible for maintaining appropriate backups, account security, permissions, passwords, and internal access controls for platforms they own or operate, unless otherwise agreed in writing.
19. No Guaranteed Results
AJC Business Systems provides practical systems, recommendations, design improvements, automations, AI tools, and business support. However, we do not guarantee specific results such as increased revenue, increased leads, increased sales, search engine rankings, customer responses, conversion rates, or business growth.
Results depend on many factors outside of our control, including your market, offer, pricing, traffic, reputation, follow-up process, sales process, customer demand, and business operations.
20. Limitation of Liability
To the fullest extent permitted by law, AJC Business Systems will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost opportunities, lost data, business interruption, reputational harm, or system downtime.
To the fullest extent permitted by law, our total liability for any claim related to a service will not exceed the amount paid by the client to AJC Business Systems for the specific service giving rise to the claim.
21. Indemnification
You agree to indemnify and hold harmless AJC Business Systems, its owners, contractors, partners, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from your misuse of the website or services, your violation of these Terms, your unlawful use of delivered systems, your business content, your customer communications, or your violation of third-party rights.
22. No Emergency Use
Our website, website assistant, custom apps, automations, forms, follow-up systems, and communication tools are not intended for emergency use. Do not use them for emergency communications, urgent safety issues, medical emergencies, legal emergencies, or time-critical emergency services.
23. Governing Law
These Terms are governed by and interpreted according to the laws of the State of Arizona, without regard to conflict of law principles.
24. Updates to These Terms
We may update these Terms from time to time. When updates are posted, the “Last Updated” date at the top of this page will be changed. Continued use of the website or services after updates are posted means you accept the revised Terms.
